01 What will the bonds be used for? We will only begin spending the money raised through bonds on the construction of our dream home once the municipality has made a decision on the building permit application. We will not do this if the bank has not yet issued a letter of intent for financing. Therefore, we will only begin using the bondholder loan once we have received written confirmation from the bank. As soon as we begin spending the money, we will inform all bondholders.

03 How and when will I be repaid for my bond investment, and how is the interest handled? Bondholders receive their money back after the agreed-upon period. Payment occurs at the end of the calendar year. Each year, the bondholder earns interest on the original amount used to purchase the bond.
04 What is the maximum number of bonds I can buy? The maximum amount is €100,000 (400 bonds). This is the limit for the exemption from the prospectus requirement under Article 5:3 of the Financial Supervision Act (Wft). Would you like to invest more in De Woonwolk? 05 Can I also buy bonds as a company, association, or foundation? Bondholders can be either natural persons or legal entities (companies, foundations, or associations). In this case, the legal entity is the bondholder, not the contact person. 07 What happens if De Woonwolk goes bankrupt? A bond is a subordinated loan. This means that in the event of bankruptcy, the mortgage is repaid first, then the loan from the Stimuleringsfonds, and then the bonds. Our own contribution comes last. By purchasing a bond, you take on more risk than the bank and external financiers, and less risk than the future residents of De Woonwolk themselves.
08 Who determines the property's value? The appraisal is necessary to determine the future value of the property. It's an important step in determining the property's financial viability and the project's feasibility. The appraisal is performed by a party appointed by the bank, which provides the majority of our financing.

We believe that housing cooperatives are the key to a new way of living. Because we are a non-profit cooperative, and residents cannot sell their share of the project, no one benefits from further inflating the market value. This means that the 51 homes we are building will not only provide a housing solution for ourselves, but also for future Amsterdam residents.
This type of living also entails a new form of ownership : because we are all owners, there is not only a greater sense of involvement and responsibility than with regular rentals, but also a new freedom and autonomy among our members. Because decisions at De Woonwolk are made democratically, all residents have an equal say in the building's management and the use of the common areas.
Our members are also intrinsically motivated to share our building with our neighbors and contribute to social, sustainable, and artistic initiatives in Amsterdam Noord. For example, we want to use our makerspace for sustainability workshops, open repair afternoons where neighbors can repair their bikes or small appliances, or make it available to local artists for larger projects. The rooftop event hall offers space for lectures, language cafés, radio and music sessions, neighborhood dinners, and movie nights – the Woonwolkers are brimming with ideas to celebrate Buiksloterham together!
It is precisely this energy that makes the housing cooperative a unique form of housing. In a time of polarization and a growing problem of loneliness in the Netherlands, cooperatives encourage community building and community development, offering space for citizen initiatives and the exchange of ideas and ideals. This, of course, doesn't apply exclusively to De Woonwolk – this new form of ownership is at the heart of all housing cooperatives.
That's why we aim to help future cooperatives emerge from our collective in the long term. This way, every euro De Woonwolk raises now through the Cloudlending campaign will be reinvested multiple times in new housing projects in the future.

What is crowdlending? The word says it all: we borrow money from the crowd, consisting of our supporters and investors who want to contribute to a positive change in the Amsterdam housing market. This allows individual investors to grant us a loan for a specific period, without the intervention of traditional financial institutions – and they receive a good return in return.
You lend us money by purchasing a bond. A bond is a tradable debt instrument representing a loan. It is therefore a formal agreement between the bondholder and De Woonwolk. Once the bond's term expires, we will repay the full nominal amount of the loan. In addition, you will receive an additional payment from us at the end of the term in the form of interest.
De Woonwolk's Cloudlending campaign consists of three rounds, each aiming to raise €220,000. Each round offers three different types of bonds, with interest rates linked to the loan term:
Repayment after 1-5 years: interest 2.25% Repayment after 5-10 years: interest 2.5% Repayment after 11-15 years: interest 2.75%
To purchase your bond, we ask for a few contact details and your account number to ensure we transfer the refund and returns to the correct address. This information will not be used for anything else and will be stored securely on a private database. After your bonds are redeemed, and the loan term ends, this information will be destroyed.

What are bonds? A bond is a tradable debt instrument representing a loan. When you buy a bond from us, you're lending us money. Once the bond's term expires, we'll repay the full face amount of the loan. In addition, you'll receive annual interest, which is paid at the end of the term.
How much does a bond cost? Each bond has a value of €250. You can, of course, buy multiple bonds if you want to invest a larger amount in De Woonwolk.
What are the bond terms and interest rates? You'll receive your money back after a term of 5, 10, or 15 years, depending on the bond type you choose. The annual interest is paid at the end of the term, along with the repayment of the bonds. As a bondholder, you can also choose to donate the interest to De Woonwolk.
When and how will the bond be redeemed? We will begin redeeming the bonds during their term. A drawing will be made from the bonds with the shortest remaining term. As a bondholder, you can indicate whether you want your bond to be included in this drawing. So, a 5-year bond will be redeemed no later than 5 years after purchase; a 10-year bond will be redeemed 5 to 10 years after purchase, and so on. If all shorter-term bonds have already been redeemed, we could, of course, redeem them sooner than expected, but we're not assuming that yet. If you bought a longer-term bond and still want to get your money back sooner, you can sell it to someone else.
Who issues the bonds? The bonds are issued by the De Woonwolk association.
Can I sell my bonds? Yes, the bonds are freely tradable. If you want to sell a bond, you first offer it to De Woonwolk. If we don't want to buy the bond from you, you can offer it to others. Once you've found a buyer, contact us to transfer the bond to the new owner.
What will the bonds be used for? We will not do this if the bank hasn't yet issued a letter of intent for financing. Therefore, we will only use the bondholders' loan once we have the bank's written confirmation. What are the risks? The bond is subordinated to the loans provided by external financiers: the bank mortgage and the loan from the Stimulation Fund. The bond is exempt from the prospectus requirement and supervision of the Netherlands Authority for the Financial Markets, according to the Exemption Regulation under the Financial Supervision Act.
What's the risk? Our initial investments are being made with funds from various subsidies, the first portion of the loan from the Incentive Fund, and the contributions of the future residents of the building. This will help us finance the costs of the preliminary and final designs.
The transfer of the land will only take place under the condition that the environmental permit has been granted by the municipality and the bank has committed to financing the project. If these conditions cannot be met definitively, the project cannot proceed. In that case, the bonds will be repaid. The funds from the bonds will therefore be released when the construction preparations for our building begin. During the construction phase, there is a risk of cost overruns due to rising construction prices or other unforeseen setbacks. We are taking measures to minimize this risk as much as possible. We are assisted in preparing the budget by an experienced architect and an external process manager. We will also agree on as many costs as possible in advance with the contractor. Furthermore, the budget assumes unforeseen costs.
Once the building is completed, there is a risk that there will be insufficient rental income to repay the bonds. This risk is mitigated as much as possible by making the association fully liable for the principal and interest. We also reserve funds in our operating budget for potential loss of rent. Moreover, it is highly unlikely that there will be insufficient demand for the affordable housing we will be creating in Amsterdam.
Another risk is the complex becoming uninhabitable due to fire or other disasters. To cover this risk as much as possible, the association will take out buildings insurance – which we are also required to do for the mortgage agreement with the bank.
What if you go bankrupt? A bond is a subordinated loan. This means that if we go bankrupt, the mortgage will be repaid first, then the loan from the Stimuleringsfonds, and only then the bonds. Our own contribution comes last. So, by buying the bond, you run more risk than the bank and external financiers, and less risk than the future residents of De Woonwolk themselves.
